1. Acceptance of Terms

By accessing or using the CoachPulse mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms apply to all users, including individual coaches and team administrators.

2. Description of Service

CoachPulse is a mobile application that enables coaches to:

• Create and manage coaching observations and notes
• Record skills observations
• Organise coaching data
• Collaborate with team members (if part of a team)

The App is provided as-is and we reserve the right to modify, suspend, or discontinue any features at any time.

3. Eligibility

You must be:

• At least 18 years old
• Capable of forming a binding contract
• Not prohibited from using the service under UK law or any other applicable jurisdiction

4. User Accounts

Account Creation

• You must provide accurate and complete information when creating an account via Clerk
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorised use of your account

Account Security

• Choose a strong password
• Do not share your login credentials
• We are not liable for losses resulting from unauthorised account access due to your failure to maintain security

5. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Impersonate any person or entity
• Interfere with or disrupt the App's functionality
• Attempt to gain unauthorised access to our systems
• Use automated systems (bots, scrapers) to access the App
• Upload malicious code or viruses
• Harass, abuse, or harm other users
• Use the App to store or transmit content that violates third-party rights
• Reverse engineer, decompile, or disassemble the App

6. User Content

Your Ownership

• You retain all rights to the coaching notes and observations you create ("User Content")
• We do not claim ownership of your User Content

Licence to Us

By creating User Content, you grant us a limited licence to:

• Store, process, and display your User Content to provide the App's functionality
• Enable team sharing features (if applicable)
• Back up and secure your data

This licence terminates when you delete your content or account.

Your Responsibility

You are solely responsible for:

• The accuracy and legality of your User Content
• Ensuring you have rights to share any information about individuals mentioned in your notes
• Compliance with data protection laws (GDPR, UK DPA) regarding individuals you coach

7. Team Accounts

If you're part of a team:

• Team administrators may have access to coaching notes created by team members
• You should only record information about individuals where you have appropriate consent or legal basis
• Team administrators are responsible for ensuring their team's use complies with these Terms

8. Intellectual Property

Our Rights

• The App, including its design, features, code, and branding, is owned by CoachPulse
• You may not copy, modify, distribute, or create derivative works without our permission
• "CoachPulse" and related marks are our trademarks

Feedback

If you provide suggestions or feedback, we may use it without obligation or compensation to you.

9. Data Protection and Privacy

Your use of the App is also governed by our Privacy Policy at coachpulseapp.com/privacy, which is incorporated into these Terms.

Key points:

• You're responsible for complying with data protection laws when recording information about others
• If you coach minors, ensure you have appropriate consent from parents/guardians
• We process data as described in our Privacy Policy

10. Disclaimers

No Warranties

Professional Advice

CoachPulse is a note-taking tool. It does not provide:

• Professional coaching advice
• Medical or health advice
• Legal advice
• Guaranteed outcomes

You are responsible for your coaching decisions and methods.

11. Limitation of Liability

Nothing in these Terms excludes liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded under UK law

12. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

• Your violation of these Terms
• Your violation of any law or third-party rights
• Your User Content
• Your use of the App

13. Termination

By You

You may delete your account at any time through the App settings.

By Us

We may suspend or terminate your account if:

• You breach these Terms
• We're required to do so by law
• We discontinue the App (with reasonable notice)

Effect of Termination

• Your right to use the App ends immediately
• We'll delete your data in accordance with our Privacy Policy (within 30 days)
• Provisions that should survive (liability limitations, indemnification) remain in effect

14. Changes to Terms

We may modify these Terms at any time. Changes will be communicated via:

• Email notification
• In-app notification
• Notice on coachpulseapp.com

Material changes take effect 30 days after notification. Continued use after changes constitutes acceptance.

15. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of England and Wales.

Dispute Resolution

• First, contact us at support@coachpulseapp.com to resolve issues informally
• If unresolved, disputes will be subject to the exclusive jurisdiction of the courts of England and Wales

EU Users

If you're an EU consumer, you retain rights under EU consumer protection laws and may bring claims in your local courts.

16. General Provisions

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and CoachPulse.

Severability

If any provision is found unenforceable, the remaining provisions continue in effect.

No Waiver

Our failure to enforce any right doesn't waive that right.

Assignment

You may not transfer your rights under these Terms. We may assign our rights to a successor or affiliate.

Force Majeure

We're not liable for delays or failures due to circumstances beyond our reasonable control.
